Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of dowley.com and any related content or services (collectively, the "Site"), operated by Dowley Security Systems ("Dowley," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

Use of the Site

You may use the Site for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable federal, state, local, or international law
  • Attempt to gain unauthorized access to the Site, its servers, or any connected system or network
  • Introduce viruses, malware, or any other malicious or technologically harmful material
  • Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission
  • Interfere with, disrupt, or place undue burden on the Site's infrastructure
  • Use the Site to transmit unsolicited commercial communications
  • Reverse engineer, decompile, or attempt to derive the source code of any portion of the Site
  • Impersonate or misrepresent your affiliation with any person or organization

We reserve the right to restrict or terminate access to the Site at our discretion, without notice, for any conduct we believe violates these Terms or is otherwise harmful.

Intellectual Property

The Site and all of its contents — including text, graphics, logos, images, page layouts, video, audio, software, and the selection and arrangement thereof — are owned by Dowley or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

"Dowley," "Dowley Security Systems," and associated logos and marks are trademarks of [LEGAL ENTITY NAME]. You may not use them without our prior written permission.

Manufacturer trademarks. Product names, brand names, and logos of manufacturers referenced on the Site — including but not limited to Axis Communications, Hanwha Vision, Milestone Systems, exacq, acre, dnaFusion, AccessNsite, Genea, ASSA ABLOY, Allegion, Now Micro, GCON Systems, LifeSafety Power, Altronix, Code Blue, HALO Smart Sensor, 2N, and Aiphone — are the property of their respective owners. Their appearance on this Site indicates Dowley's status as an authorized dealer, integrator, or partner and does not imply endorsement of this Site's content by those manufacturers.

Limited license. You may view, download, and print content from the Site solely for your own internal, non-commercial evaluation of our products and services, provided you retain all copyright and proprietary notices. All other use, reproduction, modification, distribution, republication, or public display is prohibited without our prior written consent.

Information Is Not an Offer or Proposal

Content on the Site — including descriptions of products, systems, capabilities, service offerings, and cooperative purchasing contracts — is provided for general informational purposes only.

Nothing on the Site constitutes:

  • A binding offer, quotation, or proposal
  • A guarantee of product availability, pricing, specification, or lead time
  • A professional security assessment or recommendation for your specific environment
  • Engineering, legal, regulatory, or compliance advice

Every security deployment is specific to its environment. System design, product selection, code compliance, and performance depend on factors that can only be evaluated through a site-specific assessment. Any project engagement is governed exclusively by a separate written agreement executed by both parties. In the event of a conflict between these Terms and such an agreement, the executed agreement controls with respect to that engagement.

Manufacturer product lines, specifications, features, and availability change without notice. While we work to keep Site content current, we do not warrant that product information is complete, accurate, or up to date. Confirm all specifications with us directly before making a purchasing decision.

References to cooperative purchasing contracts, including TIPS contract numbers, reflect our understanding at time of publication. Contract terms, eligibility, and award status are administered by the applicable cooperative and are subject to change. Verify current status with the cooperative.

The Site may contain links to third-party websites and resources. These links are provided for convenience only. We do not control, endorse, or assume responsibility for the content, privacy practices, accuracy, or availability of any third-party site. Accessing a linked site is at your own risk.

Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, Dowley disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, timely, secure, or error-free; that defects will be corrected; that the Site or its servers are free of viruses or harmful components; or that content is accurate, complete, reliable, or current.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, some of the above exclusions may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOWLEY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL — ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

This limitation applies to Site use only. It does not limit liability under any separately executed project, installation, service, or maintenance agreement, which is governed by that agreement's own terms.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for gross negligence, willful misconduct, or fraud.

Indemnification

You agree to indemnify, defend, and hold harmless Dowley and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your misuse of the Site.

Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Texas, without regard to its conflict of law principles.

You agree that any action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction and venue of those courts.

Severability and Waiver

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary or severed, and the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Dowley regarding your use of the Site and supersede all prior understandings on that subject.

Changes to These Terms

We may revise these Terms at any time. Revisions take effect when posted, indicated by an updated "Last Updated" date. Your continued use of the Site after changes are posted constitutes acceptance. Review these Terms periodically.
